The worst thing would be for you to pay all the money for accessories, plus their maintenance fees, and then get relegated and still have to pay the maintenance fees, which on a division 6 income would be quite damaging to the cash flow.

How much is the difference in income b/w 5th and 6th division?

It's difficult to put an exact figure on it, as there are several factors at play - sponsorship, billboards, TV rights, quality of opponents - they all make a difference to how much money you can take, and then of course it depends on your stadium and the type of seats.
Income in division 5 will be more than in division 6, you will play better opponents, less system bots, gain more experience points, and generally get more out of the game.

To be honest, I wouldn't accept the offer. In your case I would try to upgrade my stadium first and get a couple of better players. Quick promotions to upper divisions could be a trap if your squad, stadium and cash are not ready for it. I doubt your team is ready.
If you accept the offer, and then got relegated to the 6th division again, you will be losing time and money.
